1. Perform professional and specialized tasks:

• Draft and finalize advisory products as assigned and requested
• Participate in consulting and supporting Departments/Divisions/Units in resolving cases, organizing meetings, and leading the drafting and reviewing of documents and materials
• Directly send advisory products to Departments/Divisions/Units
• Take personal responsibility for advisory opinions and assigned tasks.

2. Develop, review, and complete Procedures, Regulations, especially those with high complexity, involving and affecting multiple Units:

• Review Procedures, Regulations serving the daily operations of Departments/Divisions/Units.
• Draft and complete Procedures and Regulations.

3. Conduct legal reviews of the Units

4. Directly draft or review documents, papers, and correspondence serving the daily operations of the business, such as authorizations, agreements, liquidation minutes, exchange letters, etc., at a complex level..

5. Provide legal advice and take legal responsibility for assigned or delegated M&A transactions, including the following tasks:

• Legal advice on transaction structure and M&A legal procedures.
• Conduct due diligence on the company’s legal documents and report legal risks for M&A transactions.
• Draft, revise, and advise on legal documents for M&A transactions such as contracts, agreements, authorizations, etc.
• Control legal documents and procedures during the execution of tasks.
• Perform control over certain legal tasks as assigned or delegated.

6. Provide legal advice related to procedures, documentation, and processes for investment, implementation, and business operations of the Group’s projects (bidding projects, auctions, real estate, etc.) and other tasks as assigned or delegated.

7. Risk Management:

• Identify legal risks during the execution of tasks within the scope of authority.
• Report and propose handling solutions (if any).

8. Other duties and responsibilities as may be assigned by management from time to time.\

REQUIREMENTS

1. Qualifications

• Bachelor’s degree or higher in Law; local bar admission or legal practicing license is an advantage.
• Proficient in Microsoft Office and standard office tools.

2. Experience

• Minimum 7 years of professional experience in the legal field.
• Proven experience in legal advisory, contract drafting and review, real estate, M&A, and handling legal procedures related to business operations.
• Experience in dispute resolution and litigation is preferred.

3. Knowledge

• Solid knowledge of corporate law, contract law, civil law, commercial law, and relevant regulations in real estate, land, housing, and construction.
• Good understanding of legal procedures related to business registration, operation, and dissolution.
• Familiarity with M&A processes, corporate legal matters, and project-related legal frameworks.
