We are looking for an experienced Corporate Lawyer who will independently manage the legal activities of a group of companies, provide professional legal support to management, and ensure the effective handling of corporate and commercial legal matters.

Key Responsibilities

• Independently manage the day-to-day legal activities of the group of companies.
• Provide legal advice to management on corporate, commercial, contractual, employment, and other legal matters.
• Identify and assess legal risks and develop measures to minimize potential exposure.
• Draft, review, negotiate, amend, and provide legal expertise on local and international contracts.
• Review agreements submitted by business partners and provide recommendations to mitigate legal risks.
• Provide full legal support for the establishment, state registration, reorganization, amendment of incorporation documents, transfer of ownership interests, and liquidation of companies.
• Manage legal matters, contracts, and disputes related to logistics operations.
• Provide legal support in obtaining and maintaining licenses, permits, and other regulatory documents.
• Prepare claims, objections, legal opinions, official letters, applications, and other legal documentation.
• Participate in the development and review of internal policies, procedures, regulations, and other corporate documents.
• Monitor changes in Azerbaijani legislation, assess their impact on business operations, and provide relevant legal recommendations to management.
• Support the preparation and legal review of employment-related documentation.
• Perform other legal assignments requested by management.

Requirements

• Bachelor’s degree in Law; specialization in Commercial or International Law is an advantage.
• Minimum 5 years of professional experience in Corporate Law.
• Previous legal experience within a logistics company is mandatory.
• Strong practical knowledge of corporate and contract law.
• Hands-on experience with company establishment, reorganization, amendments to incorporation documents, ownership/share transfers, and liquidation procedures.
• Fluency in Azerbaijani, Russian, and English, both written and spoken.
• Proficiency in Microsoft Office.
• Strong analytical, legal drafting, negotiation, and problem-solving skills.
• Ability to independently manage complex legal matters.
• High level of responsibility, confidentiality, attention to detail, and professional ethics.
• Ability to work effectively in a dynamic business environment and deliver results.
